1. Acceptance of Terms

By creating an account or using the services provided by Reqly AI Inc. ("Reqly," "we," "us"), including our website, mobile application, and browser extension (collectively, the "Service"), you ("you," "User") agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old and be located in the United States or Canada to use the Service.

Account registration may require a valid, active U.S. or Canadian phone number capable of receiving SMS verification. The Service is currently available only in these regions, and may not function elsewhere.

By registering, you represent and warrant that you meet these requirements.

3. Account Registration

To use Reqly, you may be required to provide:

• Your first and last name
• Valid email address
• Valid phone number

You are responsible for maintaining the confidentiality of your account and all activity under it.

4. Service Description & AI Limitations

Reqly places phone calls to businesses on your behalf and provides AI-generated summaries of those conversations. Our Service uses AI technology to communicate with businesses and relay information back to you.

CRITICAL AI ACCURACY DISCLAIMER:

The Service utilizes Artificial Intelligence. AI is not perfect. By using Reqly, you acknowledge and agree that:

• Information may be inaccurate: The AI may misunderstand the business, or the business may provide incorrect information. Reqly is not responsible for errors in pricing, availability, appointment details, or any other information provided by the Service.
• You must verify critical information: You are responsible for verifying any important information (e.g., medical appointments, expensive quotes, legal matters) directly with the business before relying on it.
• No financial liability: Reqly is not liable for any financial losses resulting from AI inaccuracies, including but not limited to incorrect pricing, booking failures, or missed appointments.
• No binding contracts: The AI cannot enter into legally binding contracts on your behalf. Any booking or reservation is subject to the business's own confirmation policies.
• Business representation: Our AI agents are NOT representatives of any business and cannot make commitments on their behalf.

5. TCPA Compliance & Authorized Use

You represent and warrant that:

• Legitimate Interest: You have a legitimate interest in contacting each business you direct Reqly to call (e.g., you are a potential customer seeking information about their products or services).
• No Telemarketing: You are not using the Service for any form of telemarketing, sales, commercial solicitation, lead generation, or marketing purposes.
• Authorized Communications: You have the right to initiate contact with each business and are not violating any Do Not Call lists or prior requests to stop communication.
• Call Authorization: You authorize Reqly to place calls you request. You are responsible for ensuring your use complies with applicable laws.
• Personal Use Only: You are using the Service for personal, informational purposes only.

Indemnification: You agree to indemnify and hold Reqly harmless from any claims, damages, or liabilities arising from your violation of the TCPA, Robocall laws, or similar telecommunications regulations in the US and Canada.

6. Prohibited Uses

You agree NOT to use the Service to:

• Harass or Spam: Place repeated calls to a business, prank call, or annoy business owners
• Telemarketing: Use the Service for sales, marketing, lead generation, or solicitation of any kind
• Illegal Activities: Engage in any illegal activities or violate any applicable laws
• Fraud or Impersonation: Impersonate others or make fraudulent claims
• System Abuse: Misuse or attempt to reverse-engineer our Service
• Robocall Violations: Use the Service in any way that violates TCPA, robocall laws, or telecommunications regulations

Violation of this section allows Reqly to immediately terminate your account and block your access.

7. Privacy and Data Use

• We collect only necessary account information
• We do not use advertising trackers or sell user data
• We do not sell your personal information. We share data only with service providers necessary to operate the Service
• Calls placed to businesses may be recorded where permitted by law
• By using Reqly, you consent to our data practices as described in our Privacy Policy

8. Intellectual Property

All Service content, features, and functionality are owned by Reqly AI Inc. and protected by intellectual property laws. You may not copy, modify, or distribute any part of our Service without permission.

9. Disclaimers

The service is provided "as is" without warranties of any kind. We specifically disclaim:

• Accuracy of AI-generated content
• Availability or accuracy of business information
• Fitness for any particular purpose
• Uninterrupted or error-free operation

10. Limitation of Liability

To the maximum extent permitted by law, Reqly AI Inc. shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Any damages exceeding $100 USD in aggregate

This limitation applies regardless of the legal theory upon which the claim is based.

11. Indemnification

You agree to indemnify and hold harmless Reqly AI Inc. from any claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your communications with businesses
• Actions taken based on Service-provided information

12. Dispute Resolution

Governing Law: These Terms are governed by Delaware law.

Arbitration: All disputes shall be resolved through binding arbitration under AAA Consumer Arbitration Rules in Delaware.

Class Action Waiver: You waive any right to bring claims as a class action or in a representative capacity.

Small Claims Exception: Either party may bring individual claims in small claims court.

13. Termination

We may suspend or terminate your access at any time. Upon termination, your right to use the Service ceases immediately. Sections 6-11 survive termination.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or Service notice. Continued use after changes constitutes acceptance.

15. General Provisions

Severability: Invalid provisions shall be severed without affecting remaining Terms.

Entire Agreement: These Terms constitute the complete agreement between you and Reqly.

No Waiver: Failure to enforce any provision doesn't constitute waiver.

Assignment: We may assign these Terms; you may not.
